Mike, it takes a few weeks if a regular lawyer uses one of the specialized companies that do this as a service. If a rush is needed, it can be done quicker, but costs more. It can be done even quicker if done in person/ overnight mail to agent of lawyer near clerk's office, and I don't believe a lawyer is needed at all. The IRS non-profit status takes longer, just as acceptance of sub-s corporation by the IRS takes longer.
I've done this a few times myself, and it has taken a few weeks. The longest part is waiting to get the receipt back, and if a service is used by the lawyer, to get your "little black book" back, which is really a corporate "kit" that includes company seal, initial meeting minutes, board composition, stock certificates, etc. Inside the little black book, the service places the certificate of incorporation, mails the whole thing to your lawyer, then he sends/mails the whole thing to you.
The only thing the state clerk looks for is a pre-existing corporation with a name that is exactly the same, or almost exactly the same. They'll even register a corporation with a very similar name, as long as it is in a different category. And they come pretty close with companies in the same industry as well:
